    You including yourself in the group? Do you own shares?

    It isn't about who has what here. It's about being a knowledgeable investor which many here have clearly demonstrated they are not. Tough way to learn but not atypical. I am sure it didn't help any having left_e trading/investing spoon feeding them what they wanted to hear.

    I don't like management any more than you do but the options are exit and take the losses or try to play on their moves. This is definitely not a straight buy and hold stock anymore. Well, with the exception maybe of getting in right now. Once upon a time in a land far away maybe but not since Scott went into overdrive on what I consider to be a long list of questionable decisions. Now you have to try to trade around the noise or suck it up and average down with ever increasing share dumps on an ever decreasing price; almost exponentially increasing your position/risk. My preference has been trading around a core and adding to it while reducing my basis.

    I just want this to be over one way or the other. Even if this is all on the up and up, there should be red flags flying all around this company based on what we have seen here in my opinion. This reads like a book for me. Regardless, I will definitely be vetting future investments to make sure none of these guys are involved in any way. Lesson learned.

    My guess is they are crossing T's and dotting i's on this one. Probably a lot of upset investors. I am. Expected or not, this is pretty much a slap in the face to the current shareholder base. Insult on top of years of injury.

    If you go by the law of averages, they will dump the shares right away and hold the warrants for a windfall if all goes well. This is what almost always happens in these deals. Net out of pocket is almost zero and they hold 20% of the companies gains for basically "no money down".

    That being said if you like conspiracies, they hold everything, we get good news in a matter of months and they walk away with almost half the company for little more than a $12MM investment and a few months of their time.

    If the prices starts down and the volume ticks up in a couple of weeks they are probably selling the shares. If not, I'm leaning toward the conspiracy. The elephant in the room is what's left of the ATM that Scott still holds which for me adds to the conspiracy.

    The other issue we are going to have here is I believe the last round of warrants have anti-dilution provisions including a ratchet clause to the price gets adjusted down. Don't quote me on that last part but it seems like I remember that.

    In the end we won't know how bad this is until the dust settles but my guess is we just lost half of the company to the newcomer(s) and the prior warrant holders.

    I did some research on the pricing. It would appear that if you want to issue shares equal to more than 20% of the company you have to do it at market. In addition if you issue warrants too, then the "unit" (share plus warrant) has to be market +$0.125. Thus the pricing. The interesting thing is this was only priced $0.115 above the warrant price so I'm not clear if this was a mistake or if the units were actually priced a penny over market. It is a joke regardless. I really want to know who inherited 40% of the company from us.

    Ahhh, the loop hole Scott slithered through - An issuer cannot sell more than 20% of its outstanding stock at a DISCOUNT without receiving prior stockholder approval.

    Obviously management is to blame for most of this but then in reality so are all the investors who voted in favor of all the nonsense that brought us to this point. I said it a long time ago - we gave him a loaded gun. Did you really not expect him to shoot it?

    Don't bet on that James. Warrants usually have a cash option and I bet these do too. Not the first time we've discussed this. Doubt Scott will see a penny from those warrants but we will definitely feel the dilution - especially if this turns out to be a winner (of sorts).

    I am not one to say I told you guys so but I have been saying this was coming for a long time now. No one should be surprised. I expected it a little later but is what it is now.

    The deal was probably struck before that price was struck and as I said in a previous post, it is common practice (and likely documented) for these guys to manage the price for a period of time. If we are still above three a month from now absent news, I will be surprised.

    I bet if you read the documentation around the Maxim agreement you will see that they can at their discretion "massage" the market after the issue. Standard practice. The real question is whether it holds after a couple of weeks.

    Never but the lack of discount to market on the primary shares is probably the reason. We will also probably never know who got these shares form 4 or not but I am curious to see what if anything pops up here in the next few days.
