  • The agreement can't come even close to $3M under the terms and here is the proof why that anybody can verify. Facts about the terms:

    Shares Outstanding:
    Common stock 119,662,805shares outstanding as of the date of this prospectus.

    The purchase price to be paid by Beaufort will be equal to 72% of the Market Price of the common stock as determined under the EPA. We will be entitled to put to Beaufort on each put date such number of shares of common stock as equals 250% of the average of the dollar volume on the principal trading exchange for our common stock for the 10 trading days preceding the put date; provided that the number of shares to be purchased by Beaufort shall not exceed the number of such shares that, when added to the number of shares of our common stock then beneficially owned by Beaufort, would exceed 4.99% of the number of shares of our common stock outstanding.

    What that all means at a 5 penny share price:

    Beaufort would get the shares for 3.6 cents (5 x .72).

    Beaufort can't own more than 4.99% of the outstanding shares. 119,662,805 x .0499 = less than 6M shares.

    6 million shares at 3.6 cents = $216,000.

    That is FAR LESS than the claimed $3M which is virtually impossible under the terms of the agreement. How far will $216,000 go?

    Dieter's yearly salary - $80,000
    Ana's yearly salary - $19,500
    Rent 7,000 per month = $84,000 per year

    The money is gone and here is what their SEC filings have to say about their capital needs:

    "We estimate that within the next 12 months we will need $5,000,000 in cash from either investors or operations."

    For them to keep claiming they are a manufacturer when they state in their SEC filings they have never manufactured anything and for them to claim they can now move forward with their business plan when they can't possibly come even close to raising the required $5M is a pure con job and scam. Verify their filings and see what liars they are!

  • Once more they claim to be a manufacturer in a PR when they have never manufactured anything and admit they are a development stage company in SEC filings:

    "manufacturer of the patented WindCutter"

    The SEC even called them out on this in the past so this isn't simply an oversight or poor choice of wording... it is blatant and conscious fraud.

    Another lie:

    "entered into an Equity Purchase Agreement with Beaufort Capital Partners, LLC, ("BCPLLC") a New York limited liability corporation to advance marketing and product launch and manufacturing capabilities."

    Their SEC filings clearly state they will need $5M to be able to execute their business plan and this EPA won't even net them a few hundred thousand dollars as it is executed. It is a huge misrepresentation to even use the figure of three million dollars. They might as well say it is a $100M agreement. All that matters is what is available under the terms of the agreement and that is a small fraction of the $3M value they are conning people into believing.

    "Sauer Energy will now be able to draw upon the maximum commitment of $3,000,000 (three million dollars)."

    An absolute lie and more intentional, conscious fraud. They cannot draw upon the maximum commitment of $3,000,000. They can only draw a small fraction of it under the terms of the agreement since Beaufort is limited in the percentage of shares they can own and this 5 penny share price limits the total EPA to just enough money to pay Dieter and his wife with no money left over to execute a business plan.

    "The equity line will result in established security for Sauer Energy to implement its plans for the launch of the WindCutter and, beyond that, to fortify the foundation for future revenues."

    They restate the blatant lie when SEC filings clearly state they need $5M to implement their business plan and this agreement can only possibly net them a few hundred thousand dollars.

    Please support REAL green companies and not frauds like this!

    My bug-out ability is almost complete. Bought a 2012 Pilatus PC-12 NG with less than 1000 hours on it. I'm instrument rated now and just need a little more training to be able to fly it myself.

You will see a list of the REAL analysts at REAL firms that provide ratings for companies. Go to Hoovers, Zachs, etc and do some research on analyst ratings. Pump & dump websites are NOT "stock analysts" as is understood in our markets. They may purport to provide "analysis", but they are not STOCK ANALYSTS that give the ratings on stocks.

    Really? How was I wrong? I relayed over and over that I was told that the SEC doesn't like to act while there is legal activity playing out. I have also told you that one of the major problems with the SEC is that they act in an arbitrary and capricious way and there is no rhyme nor reason to the timing when they initiate actions. How can I be "wrong" in telling you that the SEC will act someday... we just don't know when.

    The only question now is whether they will be suspended immediately or if you will be able to pawn your shares off on someone even more stupid than yourself for a dime when the revocation proceedings begin.

    The related party transactions where Foo enriched himself and his cronies happened while you were in blissfull ignorance. They didn't happen AFTER the VVR, Prescience and Kerrisdale reports. They didn't happen AFTER I began posting on this board. I understand your denial, but I am not an enabler for your mental illness... I confront it.     Still waiting for that major brokerage disclosure so we can verify these 65 analysts they say are covering ABAT. Methinks it isn't a "brokerage" at all and it is user ratings or something similar from Yahoo, iHub, Motley Fool or something similar. Just be honest and let the truth set you free.

    Good to see Sutter is still monitoring this board and getting his advice from me. I gave him much better advice initially on which statute to sue under and he could have saved a lot of time and gotten things done properly the first time.

    Isn't it amazing how people can have all the evidence available to them to verify yet they would rather remain delusional while calling those who took the time to enlighten them "bashers" and worse? Then when the obvious finally transpires, they are quick to blame everybody and every institution other than themselves. It was THEIR GREED that caused their behavior.

    If you don't know enough to stay away from a Grey Market penny stock that is a proven fraud then there is nothing the SEC can do to protect you from yourself. Deal with it and move on wiser.
