Eureka Healthcare and Rehabilitation Center pleaded no contest to one misdemeanor count on February 15, 2013 whose civil suit on behalf of facility residents saw a $677 million verdict against Skilled Healthcare in 2010. The amount was later reduced to $62.8 million -- with $12.8 million to cover the cost of an injunction that mandated the company comply with state staffing requirements. It's my understanding the staffing was changed...thoughts?

CEO familiar with both companies, so combo should go well - merging of cultures usually tough. expense synergies (i.e., cost reductions) should be significant with the size of this deal, as there should be some duplication/overlap in operations, and operating efficiencies should be realized as well. Genesis is a good company, imo, and will make Skilled better as well. Is there a REIT tied to either of these two companies? if not, it's a possibility going forward, and would imo help investors in the new combined company. lots of questions to answer, but skilled needed help moving forward, and Genesis provides a nice partner. again, imo.
you achieve synergies when you combine these large companies, but reimbursement, payment pressures, coupled with regulatory focus make SNFs a tough operating environment. imo, alf/snf merger of brookdale/emeritus was a better deal, since emeritus already had a name in a higher-margin business (AL). just my two, and I still feel SKH is VERY undervalued going back to the lawsuit several years back. with a merger of this size, things should move up to $9-9.50, imo. but do your dd and listen very closely to the call and how they position the 1+1=3 scenario for this deal.

says Zynga's losing tons of money...well, d.a., Zynga has made big moves NOT to keep losing money, if you'd simply research the NM acquisition and the pipeline forthcoming, as well as improvements to existing games using the NM creativity/technology. The NFL and Tiger Woods are two very recognizable brands they can leverage, but - yes - they have to pay to use them...just like anyone doing apparel with NFL logos on them. And guess what???? No one asks whether the company is "losing money" before they BUY THEM!!!!
