    Does Walgreen need to become a holding Company?

    So why the change in Corporate structure?
    There are possibilities of a holding company to expand through the use of debt or leverage, building an intricate corporate structure which can include unrealized values, thus creating a risk if interest rates on obligations or the evaluation of assets posted as guaranteefor loans alter radically.

    But is sure a good way to screw your stockholders and keep any accountability to these owners further in the dark regarding failed risk management, poor returns and Continued sales of Investor assets.

    This company has lost all reality in being a healthcare provider and will become the next odd lots..
    Want to make some money short your share and watch as the money will role in..

    If you want speculation how about a energy/gas company that will turn Walgreens underused corners into Gas convenience stations offering beer, prescriptions, and a car wash.

    Walgreens is going through a significant number of operational changes and the outlook is that the Wholesale costs of Drug has gone up as retail reimbursement is going down..
    Walgreens high cost retail convenience model locations will continue to erode stockholders earnings.. and it will take a least 12 months before they build new revenue streams.
    As drug wholesalers are currently positioning to supply Maintenance medications for a lower cost than Traditional retailers expect a distribution shift to occur..

    Try looking up a corporations charter, this gives the stockholders/owners of a Corporation rights. like voting, getting rid of bad executive managers and Board of Directors ect.
    How dividends are distributed, but all things this will change when Walgreen's Holding company is requesting approval from it's stockholders.
    It's like handing over the deed to your house to a renter In hopes you are paid..
    Walgreen's Executives and BoD are renters, the stockholders are the owners and when the house is burning who has the most to lose the renter of the owner ?..

    As for the selling price expect to see trading below 60.00, as growth in profit margins has not occurred, the markets confidence in management placed a Hedge fund on the Board, Economic growth in Euro has slowed and debt for the buyout of A/B was based on a false 1.1 billion earning projection.
    As someone posted.... this is a Hedge funds stock pick for the skimming potential.

  • Walgreen's has set up a holding Corporation, should the current stock holders approve of this new entity the Stockholders will lose it's current rights to approve of any M&A buyouts.
    "A holding company can acquire stock in another company without approval of its stockholders; mergers and consolidations typically require stockholder approval".

    And now they want investor's to give up their current rights in holding the management and Board of directors accountable to its owners and spend investors assets without any shareholder approval.

    Walgreen took a hit in selling price because they released a S-4 Sec filing that used a projected earning forecast that was based on false information..
    Walgreen's had to file an addition to there disclosure last Friday, indicating the projection of financials was based on information provided to Goldman Sachs (who prepared the estimate) was before the CFO resigned and disclosed a 1.1 billion forecasting error... See CFO Walgreen's resign's.

    A basic rule of investing is when a CFO resign's... the company has additional financials issues that may or may not surface..

    It is possible that Goldman Sachs was the Investor that forced Walgreens to provide for this 9/19/2014 disclosure. *see SEC disclosure 09/19/2014
    After rereading Goldman Sacks fairness price for Alliance Boots.. "Guidance" (annex H) in SEC filing S-4 the date of projected Review... referenced a 8/05/2014 communication from Goldman Sachs to Walgreens Board of Directors.
    This fact in the A/B purchase price being paid by Walgreens Investors/Owners was mentioned..",
    (ii) the Russia Option (as defined in the Agreement) will not be exercised, (iii) the Make-Whole Amount (as defined in the Agreement) will not be paid, and (iv) no Cash-Option Event (as defined in the Agreement) will occur".
    So Walgreens is not receiving any Money back(Make-Whole Amount) from the Alliance boots sellers from this business unit they originally were buying...
    as outlined in the about statement"
    (iv) no Cash-Option Event (as defined in the Agreement) will occur".

    Goldman Sacks covered its butt , with the following informational disclosure.
    " Certain internal financial analyses and FORECASTS for Walgreens and certain financial analyses and forecasts for Alliance Boots, in each case, as PREPARED BY THE MANAGEMENT OF WALGREENS and approved for our use by Walgreens (the “Forecasts”), and certain operating synergies projected by the management of Walgreens to result from the consummation of the acquisition of the Second Step Company Shares, as approved for our use by Walgreens (the “Synergies”).
    Now I ask all Investors... does Walgreens Management and Board of directors give its Investors confidence in what they do and say???

  • Walgreen was recently questioned by Investors about a SEC S-4 released filing(9/16/014), this involved a Goldman Sachs work product on forward earning guidance and what information(date) did they used in their estimate for projecting forward earnings..
    Was this information based on pre or post resignation of it's CFO that included a 1.1 billion dollar shortfall announced on 9/4/2014 in forward earnings.

    , Goldman Sachs calculated the ratio of current market price to estimated pro forma fiscal year 2015 earnings (“2015E Forward P/E”).
    Goldman Sachs calculated each 2015E Forward P/E based on
    (i) closing market prices as of August 1, 2014 and.
    (ii) financial data, as of August 1, 2014, that it obtained from Commission filings, Institutional Brokers’ Estimate System (“IBES”) consensus estimates and publicly available sources.”

    1) AT no point did Goldman Sacks ask about any changes in forward guidance with Walgreens CFO?
    2) Why did Walgreens release Goldman Sachs projected earning estimate in the Sept 16, 2014 Sec S-4 filing knowing that Goldman Sachs used inaccurate information.
    3) Should the misleading SEC S-4 filing be pulled down, until a trustworthy estimated earnings projection by Goldman Sachs is filed
