Let me get this straight:
Staples will sell off customers to its supplier Essendant so that Essendant becomes both a major competitor and major supplier.
Seems like a conflict of interest to me.
Wow - to make the merger happen Staples is now willing to sell assets to gain regulatory clearance according to the NY Post.
Ron should have hired James B. Donovan who was portrayed in "Bridge of Spies" to negotiate for Staples against the FTC. Donovan would have done a much better job.
Because Staples really did not want this deal to be approved they had nothing to lose and as such should have held out for better deal than has been reported.
Staples does not need or want to buy OD. Ron was forced into this by Mr. Smith. The best thing for Staples would be to spend $250MM and get out of this deal. In a short time they will have the Depot business by default when they go bankrupt.
Here is your problem - if the deal is not approved the 28000 OD employees will be out of work because OD can not survive for another 36 months on their own.
Let me confuse you with a fact. Only about 22% of Americans agree with the Iran deal.

The cost of office supplies to Enterprise customers in the short term will surley rise if the deal is approved because there will be no competition. In the loger term others will enter the space like Amazon. If that happens then Staples will not survive even as a merged company.
Wal Street seems to be beting against the deal.
Office Depot never recovered from the failed Staples / Depot merger about 20 years ago. If this deal is not approved I velieve that ODP is finished.
