This is official word for word citation from the public prospectus. Additionally there was no Edgar/SEC filing under Section 16 which confirms the below to be correct.

    Page 161

"transfers of shares of our common stock or any securities convertible into or exercisable or exchangeable for common stock (1) to the spouse, domestic partner, parent, child or grandchild of the director, executive officer or security holder, or to a trust for the benefit of such spouse, domestic partner, parent, child or grandchild, (2) by bona fide gift, will or intestacy, (3) that occurs by operation of law, (4) if the director, executive officer or security holder is a corporation, partnership or other business entity (a) to another corporation, partnership or other business entity that controls, is controlled by or is under common control with it or (b) as part of a disposition, transfer or distribution without consideration by such director, executive officer or security holder to its equity holders, or (5) if the director, executive officer or security holder is a trust, to a trustee or beneficiary of the trust, provided that, in each case, the transferee agrees to be bound by the terms of the lock-up agreement and no filing under Section 16 of the Exchange Act reporting a reduction in beneficial ownership or other public announcement is required or voluntarily made;"

I am sorry, but I just read the WSJ article from Oct. 2, 2014 7:34 p.m. ET and saw no mention of this.

It would be exceedingly helpful if you could quote the line of text you are referencing. It is possible the article was edited as the article I read did say that it was revised.

FB is $2 off of their all time high. Do you really want to use that as an example?

Twtr is roughly half between their low/high for the year, so lets use that as an example. In Twtr's case it has to do with revenue generation and monetizing the platform. Twtr has been losing members and they pale in comparison to FB for ad revenue generation. While new shares have hit the market due to dilution and lockup expiration the main driving force is REVENUE, GROWTH and OUTLOOK.

Increase in shares only affects the momentum, and resistance to changes of REVENUE, GROWTH and OUTLOOK. Granted increase in shares allows more short positions to be established, but that has a zero net gain as for every short their is by nature every long as the shares have to physically exist.

The onus of responsibility for the stock was transferred from Woodman to the new charity. The gifted stocks were classified as a gift and under agreement that the lock up expiration would be honored.

Woodman's agreement was broken, yes, but a new agreement between the charity and JPM was established.

Not true. The gifted shares had to agree to the lockup period as part of the agreement.

This is part of their prospectus and the SEC filings.

    "Front running started today"

Really? Their new camera line doesn't even officially go on sale until this Friday. By all indications this is going to be the strongest quarter in the companies history and they selling into new countries for the first time.

But for some reason you think people are going to cut and run, missing massive revenue growth... Okay.

This has to do with market cap more than PE ratios.

Google, Apple, Amazon, Red Bull and Red Camera, Canon, Nikon, etc would all love to get their hands on this company and they would be willing to pay handsomely to do so. As such, investors know the desire from these other companies carries value. The result is a highly valued market cap as a take-over defense mechanism.

Any company that wants a part of GoPro is going to have to pay substantially.

This is incorrect. The shares cannot be shorted or traded until the standard lockup expiration. The shares were gifted and the recipient has to follow the standard lockup agreement as part of the terms.

Please ask for more information from anyone who tells you otherwise.

    Late December 2014.

  • tommy_the_lobster tommy_the_lobster Oct 2, 2014 7:22 PM Flag

A lot of people are wrongly under the impression that these shares will be capable of being sold this Friday.

In fact the regulatory filing says "any recipient of the gifted shares must be bound by the terms of the lock-up agreement."

This means that these shares cannot be openly traded until the standard lockup agreement passes.

Gizmodo is now carrying the story and claiming $549/unit from one retailer.

Specs on the upcoming Hero4 have been leaked along with images by PetaPixel. The black edition will feature 4K video at 30fps, 12mp images @ 30fps and be water proof down to 131ft. The camera will also feature a built in touch display. PetaPixel is claiming that this is 100% official as the information came directly from GoPro as an advance announcement for the product release scheduled for October 8th.

No word yet on pricing, but currently the video quality competes with cameras that are $1,000-1,700+ with the added benefit of the Hero4 being waterproof.

I will try to post the link below.
