Graphic Packaging Holding Company (GPK) engages in the production of packaging products to multinational food, beverage and other consumer products companies. The Company operates in more than 100 locations in 10 countries, and is the largest maker of folding cartons as well as a leader in coated unbleached kraft paperboard, coated-recycled boxboard and multi-wall bags in North America.

Lower prices in energy, pine pulpwood, chemicals, recycled fibers, purchased paperboard, paper, aluminum foil, ink, plastic films and resins were beneficial to the Company's cost of goods in recent quarters, but a resumption of higher prices across the commodities complex threatens future profitability -- partially affecting the remaining quarters of 2009 -- and more likely impacting cost of goods sold more in 2010.

"The Company sales are affected by other manufacturers of CUK board, solid bleached sulfate, as well as recycled clay coated news. Shrink film and corrugated containers have increased in presence in the marketplace, and remain a threat to the Company's top-line growth."
