NEW YORK, NY--(Marketwire - 07/08/09) - Levi & Korsinsky announces that a class action lawsuit has been filed in the Delaware Chancery Court challenging the proposed acquisition of NATCO Group, Inc. ("NATCO" or the "Company") (NYSE:NTG - News).

The Complaint arises out of the announcement by NATCO stating that it had entered into a definitive merger agreement with Cameron International Corporation ("Cameron") (NYSE:CAM - News). Under the merger agreement, NATCO shareholders will receive 1.185 shares of CAM stock for each share of NATCO they own, or approximately NATCO $38.45 per share, for a total transaction value of approximately $780 million based on the $32.45 June 1, 2009 closing price of CAM stock, the price of CAM stock the day before the merger was announced. The transaction appears unfair given that, between January and November 2008, NATCO traded in the range of $41.00-$55.00 a share and that prior to May 26, 2009, Cameron shares have only traded above $30.00 on only three days since October 2008.
