Matco Capital Ltd. announces acquisition of common shares of Eagle Rock Exploration Ltd.

CALGARY, Nov. 9 /CNW/ - Matco Capital Ltd. ("Matco") announces that on November 6, 2009, it acquired ownership of 100,000,000 common shares (the "Common Shares") of Eagle Rock Exploration Ltd. ("Eagle Rock"). The Common Shares were issued by Eagle Rock in exchange for 100,000,000 subscription receipts that Matco acquired through a public offering for an aggregate price of $15,000,000 ($0.15 per subscription receipt). The subscription receipts were exchanged automatically upon the closing of Eagle Rock's acquisition of certain oil and gas assets on November 6, 2009.

As a result of this acquisition, Ronald P. Mathison, the controlling shareholder of Matco, beneficially owns or exercises control over 107,500,000 common shares of Eagle Rock (approximately 13.9% of the outstanding common shares of Eagle Rock). The Common Shares were acquired for investment purposes. Neither Matco nor Mr. Mathison currently intends to acquire ownership of, or control over, additional securities of Eagle Rock.
