an amended option agreement between Redhawk Resources Inc. (the
"Company"), Joe Sandberg and Chris Pratt (collectively the "Vendors"), in
relation to the Ramona Gold Project. Under the original option agreement,
dated May 5, 2004, the Company is required to make a US$40,000 payment in
the sixth year of the agreement (being 2009). Pursuant to the amended
option agreement, the Company will pay the Vendors US$10,000 and issue
150,000 common shares to the Vendors (125,000 to Joe Sandberg and 25,000
to Chris Pratt) in lieu of the US$40,000 cash payment.
