1:22 pm Integrated Silicon: Cypress Semi (CY) send letter to the Board of ISSI, indicating it strongly disagrees that its offer poses the regulatory or financing risks ISSI claimed (ISSI) : Co's letter stated:

  • "I am writing to respond to certain assertions in the June 1, 2015 press release issued by Integrated Silicon Solution, Inc. ("ISSI") regarding our offer to acquire all of the outstanding common stock of ISSI for $20.25 per share in cash. For the reasons described below, we strongly disagree that our offer poses the regulatory or financing risks you claim. Furthermore, on a comparative basis, we have a high degree of conviction that Cypress's proposal has far less timing and closing risk than the Agreement and Plan of Merger dated as of March 12, 2015 between ISSI and Uphill Investment Co.
  • The concerns articulated in the June 1 press release about antitrust risk and overlap between Cypress and ISSI in what you characterize as the "SRAM market" are misleading. We appreciate that there will be antitrust review processes that may address competitive interaction in some SRAM applications. However, we believe that the antitrust agency reviewers will see this to be a fundamentally procompetitive transaction within an exceptionally dynamic industry populated by many far larger players and customers.
  • As we said two weeks ago, we would have preferred to participate in your sale process, but were surprisingly not contacted. As such, we are simultaneously releasing this letter to the public as we believe that it is in the best interest of ISSI and its stockholders to have full information regarding our proposal."

12:56 pm Midday Market Summary: Energy Leads (:WRAPX) : The major averages are little changed at midday with the Dow, Nasdaq, and S&P 500 showing gains close to 0.2% apiece. However, the slim midday advance masks an opening decline that had the S&P 500 down 13 points during the opening hour.

Equity indices began the day under modest pressure amid continued uncertainty surrounding Greece. Last evening, leaders from France, Germany, and EU met to draft a proposal for Greek representatives, but Greek leaders took the time to prepare their own version. That being said, it remains unclear if either version will be deemed appropriate by both sides.

Interestingly, the lack of progress has not stopped the euro from surging 2.2% to 1.1175 against the dollar. To be fair, the move was likely aided by concerns that the European Central Bank could stop its quantitative program early due to inflationary pressures. To that point, eurozone CPI rose 0.3% year-over-year in May (expected 0.2%) while core CPI increased 0.9% (consensus 0.7%). Also of note, Germany's 10-yr bund has tumbled, sending its yield higher by 17 basis points to 0.72%.

Similarly, the U.S. 10-yr note has retreated steadily since the overnight hours with the benchmark yield now up eight basis points at 2.26%. In all likelihood, some of the money flowing out of Treasuries has found its way into equities, helping the stock market rebound from its opening low.

The S&P 500 marked its session low just beneath the 50-day moving average (2,100), but was able to rebound thanks to strength among most cyclical sectors. That dynamic still holds true at this juncture with five of six cyclical sectors trading ahead of the broader market.

The energy sector (+0.8%) leads with help from crude oil, which has climbed 2.1% to $61.45/bbl. The dollar-denominated commodity has benefitted from today's slide in the greenback that has the Dollar Index (95.81, -1.58) trading lower by 1.6%.

Elsewhere, industrials (+0.5%) also outperform with transport stocks showing relative strength for the second day in a row. The Dow Jones Transportation Average is higher by 0.6% with 15 of its 20 components holding gains. Meanwhile, airlines have retraced some of yesterday's gains with Delta Air Lines (DAL 43.38, -0.97) down 2.2% after reporting a 5.5% year-over-year decline in its consolidated passenger unit revenue.

On the downside, the utilities sector (-1.6%) has been pressured by today's jump in Treasury yields while health care (-0.3%) underperforms amid weakness in biotechnology. The iShares Nasdaq Biotechnology ETF (IBB 364.61, -0.20) is lower by 0.1%.

Economic data was limited to the Factory Orders report for April, which showed a 0.4% decline while the Briefing.com consensus expected a flat reading. April marked the eighth monthly decline in factory orders over the last nine months. Furthermore, durable goods orders were revised down from the -0.5% reported in the advance release to -1.0%.

Excluding transportation, durable goods orders declined 0.2% in April, which was down from a 0.5% gain that was originally reported in the advance data, and more in-line with the weak readings from the April regional manufacturing surveys.

12:56 pm Porsche Cars of North America reports May 2015 US sales declined 7.4% YoY to 4,268 vehicles (POAHY.PK) :

  • The Cayenne model line experienced another strong month in May, with 1,392 units sold, an increase of 7.6 percent compared to May 2014.

12:52 pm Major averages edge to new session highs -- Dow +45, S&P +5, Nasdaq Comp +12.9 (:TECHX) : Relative sector strength on the latest push (outperforming the S&P) has been noted in Reg Bank KRE, Bank KBE, Finance XLF, Retail XRT, Internet FDN, Biotech IBB, Transports IYT, Medical Supplies, Crude Oil USO.

  • Sprinter sales totaled 2,769 for the month, up 22.3%, combining with 837 units at smart for a May total of 33,189 for MBUSA.
  • Year-to-date, Mercedes-Benz delivered 136,926* units, climbing 9.4% from the same time last year.

12:34 pm Kite Pharma presents clinical biomarker results in patients treated with anti-CD19 chimeric antigen receptor T-Cell therapy; highlights durable responses, T-Cell activity and composition (KITE) :

  • In an ongoing Phase 1 clinical trial at the National Cancer Institute, patients with diverse B cell tumors are conditioned with cyclophosphamide and fludarabine, then dosed with their own T cells genetically modified to express a CAR designed to target the antigen CD19, a protein expressed on the cell surface of B-cell lymphomas and leukemias. As reported at last year's ASCO meeting, 76% of evaluable patients (N=29) achieved an overall response rate in this study.
  • In this updated biomarker analysis, conditioning chemotherapy was associated with a significant rise in homeostatic cytokines and chemokines, which could favor expansion, activation, and trafficking of CAR T cells. In addition, the recovery of B cells was seen in 7 of 12 patients with ongoing response duration greater than 12 months.

12:33 pm Floor Talk (:TALKX) : The stock market is at it again, creating some palpitations early that it might be on its way to a large decline only to turn around on a dime or, in this instance, its 50-day simple-moving average.

The latter, which came into play at 2101/2099 shortly after the start of trading, produced a healthy show of buying support that turned the tide of negative sentiment that had been spawned by a spike in eurozone sovereign yields after the eurozone CPI report for May checked in higher than expected.

No sector is particularly strong at this juncture, yet all have bumped up noticeably from early lows with the exception of the utilities sector (-1.6%), which remains pinned near its lows as longer-dated Treasury yields have popped higher today in spite of a disappointing Factory Orders report for April (-0.4% month-over-month).

The 10-yr note is down nearly a point and its yield has jumped 9 basis points to 2.27%.  That weakness on the other side of the weak factory orders data may be owed in part to some unwinding action on the part of European investors with the euro spiking 2.2% against the dollar after the CPI data.

Weakness in the dollar has helped put a bid in commodities and oil in particular (+1.4% at $61.04/bbl).  The jump in oil prices has afforded the energy sector (+0.9%) a measure of relative strength today that has helped turn the market around.  Separately, the S&P 500 recently spiked to its session high (2115.53) on a Reuters report that said sources have informed it that several hedge funds are pressing Macy's (M 68.51, +1.70) to consider options for its real estate.

The swing in the S&P 500 from its low today (2098.95) to its high has amounted to a 0.8% move.

11:27 am Currency Commentary: Euro Rallies on CPI, Greece Hopes (:SUMRX) :

  • The Dollar Index slipped below the 97 level and is now testing 96 for support. The weakness is due to a surging euro which is rallying because of CPI data and rumors of a debt deal with Greece. The sell off in the DXY is a little surprising given its recent strength. But a failure to break above 97.80 support, coupled with a strong euro has led to some profit taking on the recent bounce. A poor April Factory Orders number has not helped the greenback but the dollar has been able to hold steady since the release of the news.
  • The euro has been able to bounce and rally back above 1.11. Earlier this morning, there were upbeat headlines about Greek creditors agreeing to a deal and the Greek government sending its proposal. The issue, as has been from the beginning, is how far these two plans differ. Both sides continue to discuss the need to come to a resolution, but it does not appear either one is prepared to bend at the moment. In addition to the numerous Greece headlines we saw the latest round of CPI data from the EU. It came in hotter than expected which has once again led to speculation of an early end to the ECB purchase program. Premature to be sure, but the inflation data is trending up over the past couple of months. The gradual escalation was predicted by the ECB, so one should not get the feeling that these numbers are catching them off guard. In addition, they still remain well below the 2% level.
  • The pound is seeing a nice bounce off that 50- and 10-- sma (1.5167) area. Not a surprise given the recent selling and the dip in the USD. Economic data has also provided support with the Construction PMI, Net Lending, and Mortgage Approval numbers all outpacing expectations.
  • The yen is up on the day but remains weak overall. Yen is showing some signs of stabilizing at the moment at this 1.24 level. The country saw a an uptick in demand for its 10-year paper at an auction as bid cover rose to 2.7x compared to 2.2x at its prior sale/
  • The RBA left its rate unchanged at 2.00% as widely expected. The Australian central bank said that " Having eased monetary policy last month, the Board today judged that leaving the cash rate unchanged was appropriate at this meeting". The RBA said it did expect further appreciation agaisnt the dollar. The Aussie has been holding the multi-year low levels in the 75-77 area for the past few months. It was seeing selling pressure into the meeting but has bounced on what is being viewed as relatively hawkish comments.
  • The Indian rupee is trading lower this morning after the RBI cut rates for the third time this year. The RBI has done a 25 bps cut in January, March and now June. The country's main rate now stands at 7.25%. Expectations are for another cut as the country looks to boost a slowing inflation number and growth. The rupee is trading in the 63 area which has set up as a consolidating area over the past two weeks (FOREX, BONDX).

The study met its co-primary endpoints demonstrating superior progression-free survival (PFS) and overall response rate (ORR.V).

  • The ELd arm demonstrated a 30% reduction in the risk of disease progression or death compared to the Ld arm (HR 0.70, 95% CI, [0.57, 0.85]; p = 0.0004). The PFS rates in the ELd arm versus the Ld arm were 68% versus 57% at 1 year and 41% versus 27% at 2 years, respectively. A significant ORR also was observed with 79% (74% to 83%) in the ELd arm compared to 66% (60% to 71%) in the Ld arm (odds ratio, 1.9; 1.4 to 2.8; p=0.0002). The safety profile was consistent with previously-reported studies and there were minimal incremental adverse events (AEs) with the addition of elotuzumab to lenalidomide and dexamethasone.
  • Also presented in a poster session at ASCO on Sunday, May 31 were results from the Phase II study that evaluated elotuzumab in combination with bortezomib and dexamethasone (EBd, n=77) versus bortezomib and dexamethasone (Bd, n=75) alone in patients with relapsed or refractory multiple myeloma [Abstract #8573]. Consistent with data from ELOQUENT-2, results from the Phase II study demonstrated a 28% reduction in the risk for disease progression or death in the EBd arm compared to Bd alone (HR 0.72, 70% CI, 0.59, 0.88). One-year PFS rates were 39% (95% CI 28%, 50%) for EBd versus 33% (95% CI 22%, 44%) for Bd. One-year survival rates were 85% (95% CI 75%, 92%) in the EBd arm versus 74% (95% CI 62%, 83%) in the Bd arm. Grade 3-4 AEs were reported in 68% of patients in the EBd group and 60% in the Bd group, including infections (19% vs. 15%), thrombocytopenia (9% vs. 17%), and peripheral neuropathy (8% vs. 9%).

8:26 am S&P futures vs fair value: -7.30. Nasdaq futures vs fair value: -13.30. (:WRAPX) : U.S. equity futures continue holding modest losses while European markets have been able to climb off their lows.

Yesterday, the Dollar Index (96.75, -0.64) spiked more than 1.0% following a set of better than expected data in the U.S. Today, however, the index has given up 0.7% with the euro adding 1.0% against the greenback (1.1035) amid optimism that Greece will be able to come to terms with its creditors. That being said, rumors about a deal being 'close' have been a near-daily occurrence.

8:26 am European Yields (BONDX) : Sovereigns Try for Second Leg Lower

  • In the past 36 hours, the German 10-year Bund yield has spiked from 0.47% to as high as 0.67%. While that number is still below the high of 0.80% set on May 7th, Italian and Spanish 10-year yields have made fresh 6-month highs this morning, trading as high as 2.11% and 2.08%, respectively
  • The economic data in the periphery has been improving relative to the European core, and were Italy, Spain, and Germany not in a currency union, the changing growth dynamic would justify Italian and Spanish yields making new highs while German Bund yields did not. As these countries are, however, bound into a monetary union (for now), improving prospects for economic growth and prices in the eurozone as a whole should be reducing the credit risk of European sovereign debt. If that is the case, then Bono/Bund and BTP/Bund spreads might be expected to come in rather than getting wider since May 7th. More to come on this
  • The sellers of sovereign debt were encouraged by eurozone CPI data that came out higher than expected
    • Headline CPI grew by 0.3% in May after remaining unchanged in April. Expectations were for 0.2%
