In a November 2, 2012 press release, Mission West announced it would sell certain real estate assets to an entity sponsored by affiliates of Divco West and TPG Real Estate for approximately $400 million in cash and $398 million in assumed debts and other obligations. Under the terms of this liquidation agreement, shareholders will receive an estimated $9.20 to $9.28 per share in cash. The investigation concerns whether the Mission West Board of Directors breached their fiduciary duties to Mission West stockholders by unanimously voting to liquidate the Company’s assets.
