Qualys Announces Full Exercise of Underwriters' Over-Allotment Option

REDWOOD CITY, CA--(Marketwire - Oct 1, 2012) - Qualys, Inc. (NASDAQ: QLYS), a pioneer and leading provider of cloud security and compliance solutions, today announced that the underwriters of its initial public offering exercised in full their option to purchase an additional 1,136,250 shares of common stock from Qualys to cover over-allotments. As a result, the total initial public offering size is 8,711,250 shares of common stock, which consists of 7,836,250 shares of common stock to be sold by Qualys and 875,000 shares of common stock to be sold by certain selling stockholders. All shares sold in the offering are being sold at a price to the public of $12.00 per share. Closing of the sale of all shares sold in the offering is expected to occur on October 3, 2012.

J.P. Morgan Securities LLC and Credit Suisse Securities (USA) LLC are acting as joint bookrunning managers for the offering, and RBC Capital Markets, LLC, Pacific Crest Securities LLC, Robert W. Baird & Co. Incorporated, JMP Securities LLC, Lazard Capital Markets LLC and First Analysis Securities Corporation are acting as co-managers for the offering.
