Under the terms of the agreement, public shareholders of Lender will receive $33.25 per share in cash and stock for each share of Lender they own. Under the terms of the definitive agreement, Fidelity will pay 50% of the consideration for the Lender shares of common stock in cash and 50% in shares of Fidelity common stock.
The investigation concerns whether Lender’s board of directors failed to adequately shop the Company and obtain the best possible value for Lender’s shareholders before entering into an agreement with Fidelity. According to Yahoo! Finance, at least one analyst has set a price target for Lender stock at $36.00.
