Shapiro Haber & Urmy LLP has filed a class action against Scuderi Group Inc. (formerly known as Scuderi Group LLC) and others, for violations of federal and state securities laws, in the United States District Court for the District of Massachusetts, entitled Fournier v. Scuderi Group, Inc., C.A. No. 13-30111.
The Complaint alleges that Scuderi Group offered and sold unregistered securities that were not exempt from registration, in violation of federal and Massachusetts laws. The Complaint also alleges that Scuderi Group made untrue statements of material fact and/or omitted material facts in the private placement memoranda by which the securities were sold. Various Scuderi family members are being sued for their roles in the offerings, and as control persons of Scuderi Group. The action is brought on behalf of both a nationwide class under federal law and a Massachusetts class under Massachusetts law, defined as follows:
All persons or entities who directly or indirectly purchased preferred units in Scuderi Group between June 13, 2010 and the present; and
All persons or entities who directly or indirectly purchased preferred units of Scuderi Group in Massachusetts between January 1, 2004 and the present.
If you purchased Scuderi Group preferred units, you may move the court to appoint you as lead plaintiff no later than 60 days from today.
