When will the buyout deal be completed? I am confused as the buyout price was $315 and stock trades below that, is it not a done deal.
A neutral EPS(ttm) of 6.19 means that things will be up in the air for PNRA. Past setups of this nature have produced both pullbacks and near-term upswings. I started receiving notifications from awesomestoc-ks the other week and so far they have presented interesting new trade ideas.
PNRA is BS. P/E of 50, declining balance sheet. And the food SUCKS!

How nice, so there is a CEO out there to buy a business growing sales at 4%, with negative SSSG for franchise stores and willing to pay 40 times inflated '17 eps from buybacks and 2,3 times sales.
Well the shorts will still get margin calls which could drive the shares upward short term in squeeze (if longs hold a little longer). They gotta buy back those shares and if people and institutions sit on the shares for a few days the stock could temporarily exceed 315. Interesting scenario. But of course arbitrage guys might allow the shorts to cover at 310 or so which gives them a 5.00 premium. Its all a game at this point. Best thing that could happen is some one else decides to make a counter offer.

so, I did the math. At 21.3 million shares outstanding, with current share price at 305, the price tag would be 6.49 BILLION dollars!! Considering JAB paid 1.35 Billion for Krispy Kreme in 2016, and purchased Keurig Green Mountain for $13.9 billion in 2015, 6.5 seems a bit exorbitant imho.

This morning, Panera Bread Company (Sym: PNRA) announced that it would be acquired by the German investment group, JAB, for $315/share in cash. Insiders and other representing 15.5% of the stock have signed support agreements.
According to CNBC press reports, Panera has not run an auction process in order to maximize the best offers. The current CEO will be staying on as well, until as he says, “they’ll need to carry me out with my boots on.”

A review of the options tape timeline compared with the official buyout announcement again reveals that somebody made some serious money on the buyout deal before the material announcement. Surely the SEC will investigate, lmao. Today the SEC stands for the Southeastern Athletic Conference and that's it.
Congratulations to all longs and call holders. But JAB making a big mistake buying this. Reasons: I'm very familiar with Panera. I have gone into these restaurants many times (mostly to use the toilet and get a free coffee sample) but I hardly ever buy a thing. The food items are overpriced and the coffee doesn't taste good. But I see lines of people waiting to buy - this I don't get!
My take: as the economy worsens and it will, few will have money to buy. JAB will realize this acquisition was a big mistake
