  • I didn't tender, they are just sitting in my trading account now. Can anyone tell me what the advantage of continuing to hold them at this point would be? Seems like they are fully priced relative to the buyout offer, correct? Thanks a million in advance for any guidance you can give.
  • SYT appears to suggest upside opportunity. google awesomeS-TOCKS - they offer pretty good trade alerrts. you dont have to trade their tickers but it definetly helps you recognize possible patterns for stocks you're trading.
  • SYT trading is halted pending the release of material news. I think delisting is very likely now.
  • The additional tender period ends tomorrow. Depending on how many shares are tendered, the closing may take 2 to 3 months or longer. However, there is risk that the stock may be delisted before then and investors who don't tender may have to hold the non-tradeable stocks until closing. Therefore, there will be few buyers after tomorrow and any buyers will demand good premium for holding dead money for a few months. If you try to sell stock after May 24, you may get bids as low as $90. Therefore, it is wise to tender your shares before the deadline unless you plan to fight the merger in a court.
  • There are two special dividends (5 CHF for shareholders paid on May 16, 2017, 1 CHF for ADS paid in the middle of Juiy) on Syngenta website. But, as of today, May 18, I only have 1.01 USD accurred for my SYT. TEN as an ADR holder. Anyone knows if ADR holder is also entitled 5 CHF as a shareholder. I called their Swiss Investor relation Jenniser in Switzerland. She told me that as an ADR holder who also is entitled to receive 5 CHF per share. I am in the middle to clarify this by waiting for a written email from them
  • I tendered my shares two months ago or more and those shares were locked. Should I have received a dividend for my ADS or not? I held 2000 shares, so it was material.
  • The volume is getting lower and the price has spiked up this morning. If someone is still short SYT and the shares they borrowed have been tendered, the broker will buy at the market for delivery back to the lenders. I think delisting may be sooner than expected (around a week) due to liquidity issue. We only know over 80% shares have been tendered, but we don't know how many percents for ADRs have been tendered. If majority of ADRs have been tendered. we can expect delisting from NYSE around 4/18.
  • SYT will have two $1.01 dividend payments next week! Checked with my broker for this. One is "annual" dividend with record date 05/15/2017. The other is "Special" dividend related to tender offer with "payment" date 05/16/2017. SYT is very sneaky on the announcements. No any news release of the first one from SYT US company web site, SEC filing or large news organization. No detail of the second one. The first one initially came out 05/03 EU time. I was initially though that's a fake news, and later I was confused that both are the same. I don't know why SYT behaved like this. Check out, folks. The actual value of SYT should be $94.97 including 2x $1.01 dividends.

  • I called Fidelity to tender my stock and they indicated there was no mention of a special dividend of 1 swiss franc in the offer so I called the tender offer information phone line 866-431-2096. They indicated that they though the dividend would be paid May 16, but were uncertain as to timing. I questioned them on swiss witholding taxes which I have read to be 35%. They also were not sure regarding this but they think 35% will be withheld for a least taxable accounts. From my experience with Canadian tax witholding is that withholding is automatically done on dividends in taxable accounts but for retirement accounts there is no withholding due to a mutual agreement with Canada. The tender information agent did not know if there was a similar agreement with the Swiss. My guess at this point is that you will get about $1 in your retirement accounts and $0.65 in taxable accounts. When you file your taxes next year you can get partial tax credit for the Swiss withholding dependent on your particular income.

  • Is there anyway to check how many shares have been tendered? I just tendered my shares last night. I hope there are at least 67% shares got tendered, so I can collect my $94 on May 18th. If there are not enough shares, we have to wait until shareholder meeting to approve the merger to close. In that scenario, we have to wait until the end of June to collect $94.
  • In the past 10 days, the total trading volume is about 24.55 million shares as compared to total SYT shares outstanding of 92.22 million share. You know once you tendered the offer, you can't trade it anymore. I would expect it will reach 67% by May 3, 2017. Most time people do not understand the price differential between tender offer and mandatory delisting. They are the same. Other merger stock do not have tender off except a voting process, if you do not vote, you agree with the merger price for delisting. SYT makes a process a little complicated with no reasons.
