Tangoe Inc. shareholders are upset with the acquisition of the company and are seeking to block the purchase of the company by the private equity firm Merlin Partners.
The shareholder accused Tangoe’s board of breach of fiduciary duties, arguing
that the purchase price is insufficient in light of the company's growth
prospects and that deal-protection clauses in the merger agreement preclude other
companies from submitting successful competing offers. In addition, shareholders allege that senior management obtained personal benefits for their own self interests in agreeing to sell the company that are not being offered to other common stockholders
Tangoe did not immediately respond to requests for a comment.

  • Interesting volume today and move up as well. Positioning in front of good news for a change hopefully.
  • so as i predicted months ago the books are so far cooked that the auditors couldn't figure it out. why are to the two top crooks not in prison?? they have once again destroyed share holder value in another publicly traded company.
  • Looks as if Marlin has made a pretty firm offer of $6.5/share, pretty low ball offer I would think.
  • can't wait for this turd to go to $0
  • is the stock halted?
  • The target is set and it's not what you may be expecting. Now its two targets for TNGO thanks to a neutral insider ownership of 5.93%. Up or down; it will be interesting for sure. I started receiving notifications from aw-esomeSTOCKS the other week and so far they have presented interesting new trade ideas.
  • Why is the market price under the acquisition offer prices? I know it's non-binding but should that keep the price between 7 and 7.5? Is it a market assumption that the offers are going to be changed or pulled? Thoughts?

  • At this point, I'm not sure how they are going to turn things around. They really haven't done anything to pare back client expectations, so they are supporting requests that are outside of the scope of the contracts, with decreasing head count due to the layoffs. Obviously, private equity still thinks there is value there but I am just not sure how they are going to continue to maintain their clients with the diminished head count. There a lot of great folks at Tangoe so I am rooting for them but, I am not sure how it can work out. I am expecting another round of layoffs in the very near future.
  • There are some interesting problems within the company. I track this industry very closely on performance levels and have found some very concerning lapses in service. Although much of the problem is the acquisition of smaller players and then the multiple platforms clients continue to press for more for less. I'd love to help them out, but they just don't return the calls.
  • Acquisition offers are coming in at less than market price. Still think this is a "hot stock"?
