Amdocs agrees to acquire Celcite for $129M cash

Amdocs announced it has entered into a definitive agreement to acquire substantially all the assets of Celcite Management Solutions, a provider of self-organizing / self optimizing network and network management solutions, for approximately $129M in cash, subject to customary closing conditions. Additional consideration may be paid later based on the achievement of certain performance metrics. Amdocs said the acquisition expands its customer experience portfolio further into the network software domain to manage customer experience across both networks and IT. The transaction is expected to close late in Amdocs' current first fiscal quarter or at the beginning of the second fiscal quarter. Amdocs expects the acquisition of Celcite, if completed, to be modestly accretive to 2014 non-GAAP earnings per share, excluding acquisition related costs and equity-based compensation expense, net of related tax effects. Amdocs may incur acquisition-related expense in fiscal year 2014 to account for certain costs related to the acquisition, it said.
