New York, January 14, 2021 -- Moody's Investors Service ("Moody's") assigned a Baa3 rating to American Assets Trust, L.P.'s ("AAT") proposed $500 million unsecured notes due 2031. AAT intends to use the proceeds from its debut offering for the repayment of certain debt outstanding, the repayment of the outstanding borrowings under the revolving line of credit under its second amended and restated credit facility, the development of La Jolla Commons III, and the remainder for working capital and general corporate purposes. The rating outlook remains stable.

RATINGS RATIONALE

American Assets Trust's Baa3 rating reflects the REIT's diverse and high quality portfolio of office, retail, and multifamily assets, strong fixed charge coverage, and modest leverage as measured by net debt to EBITDA that has declined in recent years. Apart from the downside risk stemming from the challenged operating environment as well as the threat of new infection rates, the REIT's credit constraints include its asset, geographic, and tenant concentration risk. Additionally, the company's short history as a public REIT are constraints as well.

The REIT's financial flexibility is adequate supported by its internally generated cash flow and its unsecured credit facility. The company has a $350 million revolving line of credit that matures in 2022 (with a $250 million accordion feature). Additionally its large unencumbered pool provides a source of alternative liquidity at 92% of gross assets.

AAT's capital structure remains conservative. After incorporating Moody's global standard adjustments, the last 12- month (LTM) net debt to EBITDA for Q3 2020 was 6.0x. Effective leverage (total debt + preferred stock as a percentage of gross assets) for the same period was 40.3%. Secured debt levels remain low at just 3.1% of gross assets. The REIT's also maintains a strong fixed charge coverage of 3.9x, providing a buffer against unexpected cash flow decline.

The stable outlook reflects our expectation that American Assets Trust will maintain a good liquidity position and a conservative credit profile as it manages this challenging operating environment and period of economic uncertainty.

FACTORS THAT COULD LEAD TO AN UPGRADE OR DOWNGRADE OF THE RATINGS

Upward rating movement would be predicated on the REIT achieving the following on a consistent basis: 1) Greater portfolio diversification with no asset representing more than 10% of total net operating income; 2) Continued access to the public debt markets; 3) Net debt to EBITDA closer to 5.0x ; 4) Secured debt closer to 10% of gross assets; and 5) Fixed charge coverage above 3.5x on a consistent basis.

In light of the stable outlook, a downgrade is unlikely in the next 12 months, however, due to the ongoing unpredictable effects and uncertainty from the current pandemic downward rating pressure would result from: 1) Deterioration in operating performance; 2) Secured debt levels above 20% of gross assets; 3) Fixed charge coverage below 2.5x ; 4) Net debt to EBITDA over 6.5x; and 5) Any difficulties in the funding or lease-up of its development pipeline.
