Rating Action: Moody's assigns A2 issuer rating to Antioch USD, CA; confirms A1 on SFID No. 1 GOULTGlobal Credit Research - 06 Apr 2021New York, April 06, 2021 -- Moody's Investors Service has assigned an issuer rating of A2 to Antioch Unified School District, CA (district). The issuer rating reflects the district's ability to repay debt and debt-like obligations without consideration of any pledge, security, or structural features. Concurrently, Moody's has confirmed the A1 rating on the district's School Facilities Improvement District No. 1's (SFID) outstanding general obligation unlimited tax (GOULT) bonds. The SFID has approximately $103.9 million in outstanding GOULT debt. The district also has $18.6 million in outstanding Qualified Zone Academy Bonds (QZABs) and $11.5 million in outstanding certificates of participation (COPs) not rated by Moody's. This list is an integral part of this Press Release and identifies each affected issuer.RATINGS RATIONALEThe A2 issuer rating reflects the district's sizable and growing economy within Contra Costa County (Aa1 stable), albeit with below average income levels and declining enrollment. The rating also incorporates a narrow but generally stable financial position and elevated leverage, inclusive of adjusted pension and OPEB liabilities, with fixed costs that will continue to somewhat pressure the district's operating flexibility.The A1 rating on the SFID's GOULT bonds is one notch higher than the district's issuer rating. The one notch distinction reflects California school district GO bond security features that include the physical separation through a "lockbox" for pledged property tax collections and a security interest created by statute. The rating also reflects the sizeable $7.5 billion tax base of the SFID, representing approximately 56.6% of the district's overall AV with no significant taxpayer concentration.RATING OUTLOOKOutlooks are not typically assigned to credits with this amount of outstanding debt.FACTORS THAT COULD LEAD TO AN UPGRADE OF THE RATINGS- Significant and sustained improvement in the district's financial position from historical levels- Continued improvement in the local economy with strengthening income levels- Stabilized enrollmentFACTORS THAT COULD LEAD TO A DOWNGRADE OF THE RATINGS- Decline in the district's financial position- Ongoing enrollment declines- Economic weakening or deteriorating income levelsLEGAL SECURITYThe SFID's general obligation bonds are secured by an unlimited property tax pledge of all taxable property within their respective boundaries. Debt service on the rated debt is secured by a voter-approved unlimited property tax pledge. Contra Costa county rather than the district or SFID will levy, collect, and disburse the property taxes, including the portion constitutionally restricted to pay debt service on general obligation bonds.PROFILEAntioch Unified School District is located in eastern Contra Costa County, approximately 35 miles northeast of the city of Oakland (Aa1 stable GOULT). The district encompasses about 41 square miles serving about 111,000 residents of Antioch, small portions of Oakley and Brentwood (Aa2 GOULT), and nearby unincorporated areas. The district operates 14 elementary schools (one of which is a K-8 school), four middle schools, two comprehensive high schools, three specialized high schools, and two alternative high schools, with an enrollment of about 15,636 students as of fiscal 2021.The SFID is located within the older area of the district, consisting of the area not contained in three community facilities districts.
