UNIONDALE, N.Y., Nov. 08, 2019 (GLOBE NEWSWIRE) -- Arbor Realty Trust, Inc. (the “Company”) (ABR) today announced the initial conversion rate of 56.1695 shares of the Company's common stock per $1,000 principal amount of the $230 million aggregate principal amount of its 4.75% Convertible Senior Notes due 2022 (the “Notes”) issued in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). The initial conversion rate is equivalent to an initial conversion price of approximately $17.80 per share of common stock, representing an approximate 15% conversion premium based on the average VWAP of the Company’s common stock on Thursday, November 7 and Friday, November 8 of $15.4811 per share. As previously announced, the Company also granted the initial purchasers of the Notes a 13-day option to purchase up to an additional $34 million aggregate principal amount of the Notes on the same terms and conditions. The sale of the Notes to the initial purchasers is expected to settle on or about November 12, 2019, subject to customary closing conditions.
This offering is being made to qualified institutional buyers pursuant to Rule 144A under the Securities Act.
