VIRGINIA BEACH, Va., June 11, 2019 (GLOBE NEWSWIRE) -- Armada Hoffler Properties, Inc. (AHH) (the “Company”) announced today that it has priced an underwritten public offering of an aggregate 2,200,000 shares of its newly designated 6.75% Series A Cumulative Redeemable Perpetual Preferred Stock (the “Series A Preferred Stock”) at a public offering price of $25.00 per share, for net proceeds of approximately $53.3 million, after the underwriting discount but before estimated offering expenses payable by the Company. The Company has also granted the underwriters a 30-day option to purchase up to an additional 330,000 shares of Series A Preferred Stock offered by the Company at the public offering price less underwriting discounts and commissions. The offering is expected to close on June 18, 2019, subject to customary closing conditions.
The Company intends to use the net proceeds from the offering to fund a portion of the purchase price of the previously announced pending acquisition of Thames Street Wharf, a 263,426 square foot office building located in the Harbor Point neighborhood of Baltimore, Maryland. The balance of the net proceeds, if any, may be used to repay a portion of the outstanding borrowings under the Company’s unsecured revolving credit facility and/or for general corporate purposes.
Jefferies and Stifel are acting as joint book-running managers for the offering.
