DALLAS, March 1, 2017 /PRNewswire/ -- Ashford Hospitality Prime, Inc. (AHP) ("Ashford Prime" or the "Company") announced today that it has commenced concurrent underwritten public offerings of 1,150,000 shares of 5.50% Series B Cumulative Convertible Preferred Stock (the "Preferred Stock") and 5,750,000 shares of the Company's common stock, par value $0.01 per share (the "Common Stock"). Dividends on the Preferred Stock will accrue at a rate of 5.50% on the liquidation preference of $25.00 per share. The Company expects to grant the underwriters of the offerings a 30-day option to purchase up to an additional 172,500 shares of Preferred Stock and 862,500 shares of Common Stock. The offerings are subject to market and other conditions.
The Company intends to use the net proceeds of the offerings for general corporate purposes, including to fund future acquisitions, which may include the Company's recently announced potential acquisitions, if such acquisitions are consummated.
UBS Investment Bank, Morgan Stanley and FBR are acting as the joint book-running managers for the offering of Preferred Stock and Baird, Janney Montgomery Scott, JMP Securities and William Blair are acting as co-managers for the offering.
