Auris Medical Prices $8,000,000 Public Offering
Hamilton, Bermuda, May 13, 2019 (GLOBE NEWSWIRE) -- Auris Medical Holding Ltd. (EARS), a clinical-stage company dedicated to developing therapeutics that address important unmet medical needs in neurotology and central nervous system disorders, announced today the pricing of an underwritten public offering of: (i) 330,000 common shares together with warrants to purchase 330,000 common shares, and (ii) 1,721,280 pre-funded warrants, with each pre-funded warrant exercisable for one common share, together with warrants to purchase 1,721,280 common shares. The combined public offering price per common unit is $3.90 and $3.89 per pre-funded unit. The pre-funded warrants will have an initial per share exercise price of CHF 0.01, are exercisable immediately and will expire when exercised in full. The common share warrants will have an initial per share exercise price of CHF 4.34, subject to customary adjustment, are exercisable immediately and will expire 5 years from the date of issuance. The gross proceeds to Auris Medical Holding Ltd. from this offering are expected to be approximately $8 million, before deducting underwriting discounts and commissions and other estimated offering expenses. Auris Medical Holding Ltd. has granted the underwriters a 45-day option to purchase up to an additional 307,692 common shares and/or additional warrants to purchase up to 307,692 common shares to cover over-allotments, if any. The offering is expected to close on May 15, 2019, subject to customary closing conditions.
