NEW YORK, Jan. 05, 2021 (GLOBE NEWSWIRE) -- Bragar Eagel & Squire, P.C., a nationally recognized stockholder rights law firm, has launched an investigation into whether the board members of Boston Private Financial Holdings, Inc. (NASDAQ: BPFH) breached their fiduciary duties or violated the federal securities laws in connection with the company’s acquisition by SVB Financial Group (NASDAQ: SIVB) (“SVB”).

Click here to learn more and participate in the action.

On January 4, 2020, Boston Private Financial Holdings announced that it had signed an agreement to be acquired by SVB for approximately $900 million. Pursuant to the merger agreement, Boston Private Financial Holdings stockholders will receive $2.10 in cash and 0.0228 shares of SVB common stock for each share of Boston Private Financial Holdings common stock owned. The deal is scheduled to close in the middle of 2021.

Bragar Eagel & Squire is concerned that Boston Private Financial Holdings’ board of directors oversaw an unfair process and ultimately agreed to an inadequate merger agreement. Accordingly, the firm is investigating all relevant aspects of the deal and is committed to securing the best result possible for Boston Private Financial Holdings’ stockholders.
