Announcement: Moody's: No adverse rating impact on the Secured Notes issued by Brigade Debt Funding II, Ltd. due to WARF AmendmentGlobal Credit Research - 23 Feb 2021New York, February 23, 2021 -- Moody's Investors Service ("Moody's") announced that the entry by Brigade Debt Funding II, Ltd. (the "Issuer") into a certain amendment to the Indenture, pursuant to a Second Supplemental Indenture among the Issuer, Brigade Debt Funding II, LLC, as Co-Issuer, and U.S. Bank National Association, as Trustee, effective as of February 23, 2021, to reflect Moody's revised analytical treatment of corporate obligors with a negative outlook or whose ratings are on review for downgrade (the "WARF Amendment") would not, in and of itself, and as of this point in time, cause the immediate withdrawal or reduction by Moody's of its current ratings of Secured Notes issued by the Issuer.Moody's opinion addresses only the credit impact associated with the proposed WARF Amendment, and Moody's is not expressing any opinion as to whether the WARF Amendment has or could have other non-credit-related effects that may have a detrimental impact on the interests of holders of rated obligations.On December 7, 2020, Moody's updated Moody's Global Approach to Rating Collateralized Loan Obligations (the "CLO Rating Methodology"). Under the updated CLO Rating Methodology, Moody's made changes in the treatment of obligors whose ratings we placed on review for downgrade or to which we assigned a negative outlook, as follows:-- If assigned a negative outlook, no adjustment to the obligor's rating.-- If on review for possible downgrade, adjust down by one notch from the obligor's rating.The WARF Amendment accurately conforms the Indenture to the ratings criteria set forth in the updated CLO Rating Methodology.The principal methodology used in reaching its conclusion and in monitoring the ratings of the Notes issued by the Issuer is "Moody's Global Approach to Rating Collateralized Loan Obligations" published in December 2020.
