Broadcom Inc. Announces Pricing of Private Offering of Senior Notes

SAN JOSE, Calif., March 29, 2019 /PRNewswire/ -- Broadcom Inc. (AVGO) ("Broadcom") announced today that it has priced the previously announced offering of $2,000 million of 3.125% Senior Notes due 2021, $1,500 million of 3.125% Senior Notes due 2022, $2,000 million of 3.625% Senior Notes due 2024, $2,500 million of 4.250% Senior Notes due 2026 and $3,000 million of 4.750% Senior Notes due 2029. The closing of the offering is expected to occur on April 5, 2019, subject to customary closing conditions. The notes will be guaranteed on a senior unsecured basis by certain of Broadcom's subsidiaries. Broadcom intends to use the net proceeds from the sale of the notes to repay outstanding indebtedness under its existing credit agreement.

The securities are being sold in a private placement to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and to non-U.S. persons outside the United States under Regulation S under the Securities Act.
