The Chefs’ Warehouse Announces Offering of $130 Million of Convertible Senior Notes Due 2024

RIDGEFIELD, Conn., Nov. 18, 2019 (GLOBE NEWSWIRE) -- The Chefs’ Warehouse, Inc. (CHEF) (the “Company”) today announced that it intends to offer, subject to market conditions and other factors, $130 million aggregate principal amount of its convertible senior notes due 2024 (the “Convertible Notes”) in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). The Company also intends to grant the initial purchasers of the Convertible Notes a 30-day option to purchase up to an additional $20 million aggregate principal amount of Convertible Notes.  The Convertible Notes are expected to pay interest semiannually and will be convertible at the option of holders of the Convertible Notes into shares of the Company’s common stock. The Convertible Notes will mature on December 1, 2024, unless earlier converted or repurchased in accordance with their terms. Final terms of the Convertible Notes, including the interest rate, initial conversion rate, and other terms, will be determined by negotiations between the Company and the initial purchasers of the Convertible Notes.

The Company intends to use the net proceeds from the offering of the Convertible Notes to repay approximately $43.2 million aggregate principal amount of outstanding loans under its asset-based loan facility and for working capital and general corporate purposes, which may include future acquisitions.
