We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. On the other hand, we'd be remiss not to mention that insider sales have been known to precede tough periods for a business. So before you buy or sell Arcimoto, Inc. (NASDAQ:FUV), you may well want to know whether insiders have been buying or selling.
Do Insider Transactions Matter?
It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, rules govern insider transactions, and certain disclosures are required.
We don't think shareholders should simply follow insider transactions. But logic dictates you should pay some attention to whether insiders are buying or selling shares. For example, a Columbia University study found that 'insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers'.
Arcimoto Insider Transactions Over The Last Year
In the last twelve months, the biggest single purchase by an insider was when Founder Mark Frohnmayer bought US$420k worth of shares at a price of US$3.00 per share. That means that an insider was happy to buy shares at around the current price of US$3.22. Of course they may have changed their mind. But this suggests they are optimistic. If someone buys shares at well below current prices, it's a good sign on balance, but keep in mind they may no longer see value. The good news for Arcimoto share holders is that insiders were buying at near the current price.
Happily, we note that in the last year insiders bought 274k shares for a total of US$823k. In the last twelve months Arcimoto insiders were buying shares, but not selling. I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. It's great to see that Arcimoto insiders own 47% of the company, worth about US$28m. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
