Have Insiders Been Buying Catasys, Inc. (NASDAQ:CATS) Shares This Year?

Simply Wall St

We often see insiders buying up shares in companies that perform well over the long term. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So we'll take a look at whether insiders have been buying or selling shares in Catasys, Inc. (NASDAQ:CATS).

What Is Insider Buying?

It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, rules govern insider transactions, and certain disclosures are required.

We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. But logic dictates you should pay some attention to whether insiders are buying or selling shares. As Peter Lynch said, 'insiders might sell their shares for any number of reasons, but they buy them for only one: they think the price will rise.'

Catasys Insider Transactions Over The Last Year

In the last twelve months, the biggest single purchase by an insider was when Steven Gorlin bought US$211k worth of shares at a price of US$8.71 per share. Although we like to see insider buying, we note that this large purchase was at significantly below the recent price of US$13.82. But because it occurred at a lower valuation, it doesn't tell us much about whether insiders might find today's price attractive.

Insider Ownership

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. We usually like to see fairly high levels of insider ownership. It's great to see that Catasys insiders own 57% of the company, worth about US$129m. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

So What Does This Data Suggest About Catasys Insiders?

The fact that there have been no Catasys insider transactions recently certainly doesn't bother us. But insiders have shown more of an appetite for the stock, over the last year. It would be great to see more insider buying, but overall it seems like Catasys insiders are reasonably well aligned (owning significant chunk of the company's shares) and optimistic for the future.
