Have Insiders Been Buying VolitionRx Limited (NYSEMKT:VNRX) Shares?

It is not uncommon to see companies perform well in the years after insiders buy shares. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So before you buy or sell VolitionRx Limited (NYSEMKT:VNRX), you may well want to know whether insiders have been buying or selling.

Do Insider Transactions Matter?

It’s quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, such insiders must disclose their trading activities, and not trade on inside information.

Lead Independent Director Guy Innes made the biggest insider purchase in the last 12 months. That single transaction was for US$100k worth of shares at a price of US$2.00 each. We do like to see buying, but this purchase was at a lower price. The insider buying may not tell us much about how insiders feel about the current share price.

Happily, we note that in the last year insiders bought 61.50k shares for a total of US$122k. Overall, VolitionRx insiders were net buyers last year. Their average price was about US$1.98. It is certainly positive to see that insiders have invested their own money in the company. However, we do note that they were buying at significantly lower prices than today’s share price. Does VolitionRx Boast High Insider Ownership?

For a common shareholder, it is worth checking how many shares are held by company insiders. We usually like to see fairly high levels of insider ownership. Insiders own 13% of VolitionRx shares, worth about US$14m. We’ve certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

What Might The Insider Transactions At VolitionRx Tell Us?

The fact that there have been no VolitionRx insider transactions recently certainly doesn’t bother us. On a brighter note, the transactions over the last year are encouraging.
