Have Insiders Been Selling AGNC Investment Corp. (NASDAQ:AGNC) Shares?

We’ve lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So shareholders might well want to know whether insiders have been buying or selling shares in AGNC Investment Corp. (NASDAQ:AGNC).

What Is Insider Selling?

It’s quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, such insiders must disclose their trading activities, and not trade on inside information.

We don’t think shareholders should simply follow insider transactions. But equally, we would consider it foolish to ignore insider transactions altogether. For example, a Columbia University study found that ‘insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers’.

AGNC Investment Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when Director Morris Davis sold US$130k worth of shares at a price of US$19.12 per share. So what is clear is that an insider saw fit to sell at around the current price of US$17.55. They could have a variety of motivations for selling, but it’s still not particularly encouraging to see. Arguably, insider selling at around current prices should give us reason to reflect on whether the stock is fully valued at the moment. Morris Davis was the only individual insider to sell over the last year.

Insider Ownership of AGNC Investment

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. AGNC Investment insiders own about US$30m worth of shares. That equates to 0.3% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Do The AGNC Investment Insider Transactions Indicate?

It doesn’t really mean much that no insider has traded AGNC Investment shares in the last quarter. We don’t take much encouragement from the transactions by AGNC Investment insiders. But we do like the fact that insiders own a fair chunk of the company. If you are like me, you may want to think about whether this company will grow or shrink.
