Are Insiders Selling County Bancorp, Inc. (NASDAQ:ICBK) Stock?

We’ve lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So we’ll take a look at whether insiders have been buying or selling shares in County Bancorp, Inc. (NASDAQ:ICBK).

What Is Insider Selling?

It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, most countries require that the company discloses such transactions to the market.

We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. But it is perfectly logical to keep tabs on what insiders are doing. Although we don’t gain confidence from insider selling, we note that this large sale was at well above current price of US$18.87. So it may not shed much light on insider confidence at current levels.

In total, County Bancorp insiders sold more than they bought over the last year. The average sell price was around US$27.79. It is certainly not great to see that insiders have sold shares in the company. But the selling was at much higher prices than the current share price (US$18.87), so it probably doesn’t tell us a lot about the value on offer today. Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it’s a good sign if insiders own a significant number of shares in the company. Insiders own 23% of County Bancorp shares, worth about US$28m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

What Might The Insider Transactions At County Bancorp Tell Us?

The fact that there have been no County Bancorp insider transactions recently certainly doesn’t bother us. Still, the insider transactions at County Bancorp in the last 12 months are not very heartening. But it’s good to see that insiders own shares in the company.
