Have Insiders Been Selling EPAM Systems, Inc. (NYSE:EPAM) Shares?

In this article:

We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So we'll take a look at whether insiders have been buying or selling shares in EPAM Systems, Inc. (NYSE:EPAM).

What Is Insider Selling?

It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, such insiders must disclose their trading activities, and not trade on inside information.

We don't think shareholders should simply follow insider transactions. But it is perfectly logical to keep tabs on what insiders are doing. For example, a Harvard University study found that 'insider purchases earn abnormal returns of more than 6% per year.'

The Last 12 Months Of Insider Transactions At EPAM Systems

In the last twelve months, the biggest single sale by an insider was when the Co-Founder, Arkadiy Dobkin, sold US$4.2m worth of shares at a price of US$170 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$176. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. This single sale was just 1.2% of Arkadiy Dobkin's stake.

We note that in the last year insiders divested 44375 shares for a total of US$7.4m. EPAM Systems insiders didn't buy any shares over the last year. Insider Ownership

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. I reckon it's a good sign if insiders own a significant number of shares in the company. It's great to see that EPAM Systems insiders own 3.5% of the company, worth about US$342m. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
