Have Insiders Been Selling HCP, Inc. (NYSE:HCP) Shares This Year?

We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So shareholders might well want to know whether insiders have been buying or selling shares in HCP, Inc. (NYSE:HCP).

What Is Insider Selling?

It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, most countries require that the company discloses such transactions to the market.

So it's clear an insider wanted to take some cash off the table, even below the current price of US$34.15. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. It is worth noting that this sale was only 11.9% of Christine Garvey's holding. Christine Garvey was the only individual insider to sell shares in the last twelve months.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. It appears that HCP insiders own 0.2% of the company, worth about US$36m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Does This Data Suggest About HCP Insiders?

There haven't been any insider transactions in the last three months -- that doesn't mean much. Our analysis of HCP insider transactions leaves us cautious.
