Have Insiders Been Selling HollyFrontier Corporation (NYSE:HFC) Shares This Year?

Simply Wall St

It is not uncommon to see companies perform well in the years after insiders buy shares. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So shareholders might well want to know whether insiders have been buying or selling shares in HollyFrontier Corporation (NYSE:HFC).

What Is Insider Selling?

It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, most countries require that the company discloses such transactions to the market.

We don't think shareholders should simply follow insider transactions. But it is perfectly logical to keep tabs on what insiders are doing. For example, a Harvard University study found that 'insider purchases earn abnormal returns of more than 6% per year.'

The Last 12 Months Of Insider Transactions At HollyFrontier

Over the last year, we can see that the biggest insider sale was by the CEO, President & Director, George Damiris, for US$4.2m worth of shares, at about US$80.67 per share. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. The silver lining is that this sell-down took place above the latest price (US$47.34). So it may not tell us anything about how insiders feel about the current share price.

Over the last year, we note insiders sold 272k shares worth US$19m. Insiders in HollyFrontier didn't buy any shares in the last year. HollyFrontier Insiders Are Selling The Stock

The last quarter saw substantial insider selling of HollyFrontier shares. Specifically, Director Michael Jennings ditched US$497k worth of shares in that time, and we didn't record any purchases whatsoever. This may suggest that some insiders think that the shares are not cheap.

Does HollyFrontier Boast High Insider Ownership?

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. A high insider ownership often makes company leadership more mindful of shareholder interests. HollyFrontier insiders own about US$31m worth of shares. That equates to 0.4% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Does This Data Suggest About HollyFrontier Insiders?

An insider sold stock recently, but they haven't been buying. And there weren't any purchases to give us comfort, over the last year. But since HollyFrontier is profitable and growing, we're not too worried by this. While insiders do own shares, they don't own a heap, and they have been selling. We're in no rush to buy!
