Insiders in Upwork Inc. (NASDAQ:UPWK) are down 30% on their US$1.1m purchase despite recent gains

Insiders who bought US$1.1m worth of Upwork Inc. (NASDAQ:UPWK) stock in the last year have seen some of their losses recouped as the stock gained 5.0% last week. However, the purchase is proving to be an expensive wager as insiders are yet to get ahead of their losses which currently stand at US$320k since the time of purchase.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At Upwork

Over the last year, we can see that the biggest insider purchase was by Independent Director Kevin Harvey for US$1.1m worth of shares, at about US$16.32 per share. That means that even when the share price was higher than US$11.46 (the recent price), an insider wanted to purchase shares. Their view may have changed since then, but at least it shows they felt optimistic at the time. We always take careful note of the price insiders pay when purchasing shares. Generally speaking, it catches our eye when an insider has purchased shares at above current prices, as it suggests they believed the shares were worth buying, even at a higher price. Kevin Harvey was the only individual insider to buy shares in the last twelve months.

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. Upwork insiders own 8.4% of the company, currently worth about US$126m based on the recent share price. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

It doesn't really mean much that no insider has traded Upwork shares in the last quarter. On a brighter note, the transactions over the last year are encouraging.
