Maxim Crane Works Announces Early Tender Offer Results and Amendment to Tender Offer

Maxim Crane Works Holdings Capital, LLC (the "Company") today announced the early tender results for its previously announced tender offer to purchase (the "Tender Offer") up to $125.0 million aggregate principal amount (the "Tender Cap") of its outstanding 10.125% Second-Priority Senior Secured Notes due 2024 (the "Notes") for cash, upon the terms and conditions set forth in the confidential Offer to Purchase (the "Offer to Purchase") dated September 15, 2020. The Company today also announced that it is amending the terms of the Tender Offer to increase the Tender Cap from $125.0 million to $132.39 million. Except for the increase to the Tender Cap, the terms of the Tender Offer remain unchanged.

As of the previously announced early tender deadline of 5:00 p.m., New York City time, on September 29, 2020, the Company has been advised by D.F. King & Co., Inc., as tender agent and information agent for the Tender Offer, that $184.7 million in aggregate principal amount, or approximately 33.89%, of the outstanding Notes had been validly tendered and not withdrawn in the Tender Offer. The withdrawal deadline relating to the Tender Offer occurred at 5:00 p.m., New York City time, on September 29, 2020. Notes previously tendered and not withdrawn and Notes that are tendered after the withdrawal deadline may not be withdrawn, except as required by law. The Tender Offer is scheduled to expire at 12:00 midnight, New York City time, on October 13, 2020, unless extended or earlier terminated.
