NEW YORK, May 29, 2019 /PRNewswire/ -- MFA Financial, Inc. (MFA) (the "Company") announced today that it has commenced an underwritten public offering of $200 million aggregate principal amount of convertible senior notes due 2024 (the "Notes"), subject to market and other conditions. The Company expects to grant the underwriters a 30-day option to purchase up to an additional $30 million aggregate principal amount of the Notes to cover over-allotments.
The Company intends to add the net proceeds of the offering to its general corporate funds, which the Company may use for general working capital purposes, including to invest in additional residential mortgage-related assets, including but not limited to, residential whole loans, MBS, CRT securities and investments related to mortgage servicing rights, and for working capital, which may include, among other things, the repayment of amounts outstanding under its repurchase agreements.
The Notes will be senior unsecured obligations of the Company, pay interest semiannually in cash on June 15 and December 15 of each year and will be convertible at the option of the holders at any time until the close of business on the business day immediately preceding the maturity day into shares of the Company's common stock. The Notes will mature on June 15, 2024, unless earlier converted, redeemed or repurchased in accordance with their terms.
The Company will not have the right to redeem the Notes prior to maturity, except to the extent necessary to preserve its status as a real estate investment trust, or REIT, for U.S. federal income tax purposes, the Company may redeem all or part of the Notes at a cash redemption price equal to the principal amount of the Notes to be redeemed, plus accrued and unpaid interest to, but excluding, the redemption date.
Holders of Notes may require the Company to purchase their Notes upon the occurrence of certain events that constitute a fundamental change under the indenture governing the Notes at a purchase price equal to 100% of the principal amount thereof, plus accrued and unpaid interest to, but excluding, the date of purchase. In connection with certain corporate events, the Company will, under certain circumstances, increase the conversion rate for holders who elect to convert their Notes in connection with such corporate event.
Morgan Stanley, Goldman Sachs & Co. LLC, Barclays and Wells Fargo Securities will serve as joint book-running managers for the offering.
