Pentair Announces Definitive Agreement to Acquire Aquion

LONDON--(BUSINESS WIRE)--

Acquisition to Provide Access to Affiliated Dealer Network for Residential Water Treatment Business

Pentair plc (PNR), a leading water treatment company, today announced that it has entered into a definitive agreement to acquire Aquion for $160 million in cash, subject to customary adjustments. Aquion offers a diverse line of water conditioners, water filters, drinking-water purifiers, ozone and ultraviolet disinfection systems, reverse osmosis systems and acid neutralizers for the residential and commercial water treatment industry.

The addition of Aquion and its affiliated dealer network, offering complete systems and solutions, will highly complement Pentair’s value chain in residential water offerings. This benefits consumers by increasing access as well as providing more choices to meet their water treatment needs.

“This planned acquisition is a significant component of our strategy to be closer to the residential consumer by allowing us to offer turnkey water conditioning solutions through Aquion’s network of affiliated dealers,” said John L. Stauch, Pentair President and Chief Executive Officer. “Aquion’s strong portfolio of residential and commercial water systems, combined with Pentair’s technical expertise in water treatment technologies, will position us to expand our scope and customer offerings in the residential and commercial water treatment arena.”

“Aquion is pleased to join Pentair,” said Michael Madsen, Aquion President and Chief Executive Officer. “This will allow Aquion to build on its strengths within an organization that is also committed to creating solutions that make water softer and more economical to use and consume across both the residential and commercial industries.”

The transaction is anticipated to be completed in the first quarter of 2019, subject to customary closing conditions and necessary regulatory approvals.

Pentair plans to release its fourth quarter and full year 2018 results on January 29, 2019, at which time it anticipates providing its 2019 outlook, including the projected financial impact of this transaction.

Citi is acting as financial advisor and Foley & Lardner LLP is serving as legal counsel to Pentair on the transaction. Baird is acting as financial advisor and Quarles & Brady LLP is serving as legal counsel to Aquion on the transaction.

Pentair also announced today in a separate press release that it has also entered into a separate definitive agreement to acquire Pelican Water Systems.

China’s Curing Cancer Faster and Cheaper Than Anywhere Else

The discovery set Zhang and his family, from a village deep in the mountains of southwestern China's Sichuan province, on a journey familiar to most cancer patients — a revolving door of hospital visits, blood tests and three rounds of chemotherapy. It was then that Zhang's doctor suggested a last-ditch option: an experimental gene therapy being trialed by a Chinese startup called Gracell Biotechnology Ltd. After spending three weeks in the hospital in May — during which white blood cells were removed from his body, genetically engineered, and then infused back in — an analysis of Zhang's bone marrow in June showed his body was clear of cancer.

During the five years of share price growth, PRA Health Sciences moved from a loss to profitability. Sometimes, the start of profitability is a major inflection point that can signal fast earnings growth to come, which in turn justifies very strong share price gains. Since the company was unprofitable five years ago, but not three years ago, it's worth taking a look at the returns in the last three years, too.

This is how dangerous ‘dollar-cost ravaging’ can be for your retirement

Dollar-cost averaging is a popular strategy in which an investor purchases an asset at regularly timed intervals to mitigate the risk of buying too high. If you are contributing to your 401(k) plan with every paycheck and building positions in various mutual funds, that's essentially what you're doing. Mark Peterson, a strategist at BlackRock (BLK) says recent retirees are at an “unprecedented” juncture in this environment, with missteps in financial planning — such as unrealistic income targets, lack of diversification and bad market timing — potentially leading to catastrophic consequences.
