We often see insiders buying up shares in companies that perform well over the long term. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. Do Insider Transactions Matter?

The Director, Susan Crawford, made the biggest insider sale in the last 12 months. That single transaction was for US$89k worth of shares at a price of US$15.25 each. That means that even when the share price was slightly below the current price of US$15.35, an insider wanted to cash in some shares. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was only 16.7% of Susan Crawford's holding. Susan Crawford was the only individual insider to sell over the last year.

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. We usually like to see fairly high levels of insider ownership. It appears that Resources Connection insiders own 5.2% of the company, worth about US$26m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
