The Complaint alleges that during the Class Period, Synchronoss violated federal securities laws by making materially false and misleading public statements about its business, operations and prospects. On April 27, 2017, the Company announced during premarket hours that CEO Ronald Hovsepian and CFO John Frederick are both leaving Synchronoss “to pursue other interests.” The Company also disclosed that it “expects total revenue for the first quarter of 2017 to be $13 million to $14 million less than the company’s previously announced guidance” and “[o]perating margins are expected to be 8% to 10%, which are less than previously announced guidance.” When this news was announced to the public, the stock price of Synchronoss dropped materially, which caused investors harm.
