(SGLB) (“Sigma Labs”), a provider of quality assurance software, today announced the pricing of an underwritten public offering with gross proceeds to the Company expected to be approximately $2.3 million before deducting underwriting discounts and commissions and other estimated offering expenses. The proposed offering equates to 2,875,000 shares of the Company’s common stock at a price of $0.80 per share. The Company intends to use the net proceeds from this offering for operations, including for the development and marketing of its products and services, and payment of general and administrative expenses and other working capital and general corporate purposes, which may include the repayment of debt and other capital expenditures.
The Company has also granted the underwriters a 45-day option to purchase up to 431,250 additional shares of common stock to cover over-allotments, if any, at the public offering price, less the underwriting discounts and commissions. The offering is expected to close on or about August 2, 2019, subject to customary closing conditions.
