TORONTO, Sept. 15, 2021 /CNW/ - Think Research Corporation (TSXV: THNK) ("Think" or the "Company"), a company focused on transforming healthcare through digital health software solutions, announced today that it has entered into an agreement with an arm's-length creditor of the Company (the "Creditor") to settle debt in the amount of $124,000 (the "Debt") relating to advisory services provided to the Company by the Creditor (the "Debt Settlement Agreement").
Pursuant to the terms and subject to the conditions of the Debt Settlement Agreement, the Company will issue an aggregate of 56,364 common shares (each a "Common Share") to the Creditor at a deemed price of $2.20 per Common Share, in satisfaction of the Debt.
The issuance of the Common Shares to the Creditor pursuant to the Debt Settlement Agreement is subject to the approval of the TSX Venture Exchange. The Common Shares will be subject to a statutory resale restriction which will expire four months and one day from the date of issuance in accordance with applicable securities laws.
