The lawsuit alleges that Defendants issued a materially misleading proxy statement recommending that UQM shareholders vote in favor of the proposed transaction. According to the complaint, the proxy statement contains materially incomplete and misleading information concerning: (1) UQM management’s financial projections; (2) the valuation analyses prepared by UQM’s financial advisor Duff & Phelps, LLC (“Duff & Phelps”) in connection with the rendering of its fairness opinion; (3) potential conflicts of interest faced by Duff & Phelps and Company insiders; and (4) the sales process leading up to the proposed transaction. As a result, UQM shareholders must be provided this information to adequately assess and value the merger consideration. The lawsuit seeks to enjoin the shareholder vote on the proposed transaction until such information is disclosed.
