Should You Be Worried About Insider Transactions At Nathan's Famous, Inc. (NASDAQ:NATH)?

Simply Wall St

We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So we'll take a look at whether insiders have been buying or selling shares in Nathan's Famous, Inc. (NASDAQ:NATH).

Do Insider Transactions Matter?

It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, rules govern insider transactions, and certain disclosures are required.

We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. But it is perfectly logical to keep tabs on what insiders are doing. As Peter Lynch said, 'insiders might sell their shares for any number of reasons, but they buy them for only one: they think the price will rise.'

Nathan's Famous Insider Transactions Over The Last Year

The Independent Director, Robert Eide, made the biggest insider sale in the last 12 months. That single transaction was for US$514k worth of shares at a price of US$70.03 each. That means that an insider was selling shares at around the current price of US$69.71. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. Given that the sale took place at around current prices, it makes us a little cautious but is hardly a major concern.

We note that in the last year insiders divested 13832 shares for a total of US$973k. Insiders in Nathan's Famous didn't buy any shares in the last year. Insider Ownership

Many investors like to check how much of a company is owned by insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. It appears that Nathan's Famous insiders own 31% of the company, worth about US$91m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
