Should You Be Worried About Insider Transactions At Ubiquiti Networks, Inc. (NASDAQ:UBNT)?

We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So shareholders might well want to know whether insiders have been buying or selling shares in Ubiquiti Networks, Inc. (NASDAQ:UBNT).

Do Insider Transactions Matter?

Most investors know that it is quite permissible for company leaders, such as directors of the board, to buy and sell stock on the market. However, such insiders must disclose their trading activities, and not trade on inside information.

We don't think shareholders should simply follow insider transactions. But equally, we would consider it foolish to ignore insider transactions altogether. As Peter Lynch said, 'insiders might sell their shares for any number of reasons, but they buy them for only one: they think the price will rise.'

Over the last year, we can see that the biggest insider sale was by the , Benjamin Moore, for US$8.8m worth of shares, at about US$87.91 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$170. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. This single sale was just 12.9% of Benjamin Moore's stake. The only individual insider seller over the last year was Benjamin Moore.

Insider Ownership of Ubiquiti Networks

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. I reckon it's a good sign if insiders own a significant number of shares in the company. Ubiquiti Networks insiders own 81% of the company, currently worth about US$9.7b based on the recent share price. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
