    SpeakEasy Named as Defendant in Action Commenced By Tietz and Loewen V. Bridgemark Financial Corp. et al

    VANCOUVER , July 12, 2019 /CNW/ - SpeakEasy Cannabis Club Ltd. (EASY.CN) (39H.F) (the "Company" or "SpeakEasy") announces that it and a number of its former directors have been named as defendants in an action commenced in the Supreme Court of British Columbia on July 11, 2019 (Tietz and Loewen v. Bridgemark Financial Corp. et al.) (the "Action").  The Action was brought under the British Columbia Class Proceedings Act and claims damages for misrepresentation and damages, along with other claims arising from misrepresentation concerning, among other things, shares issued pursuant to the Company's July 23, 2018 private placement.  The time in question is between June 29, 2018 and November 26, 2018 . Neither SpeakEasy nor the named directors have as yet been served with any court documents but they have obtained a copy of the Action.  SpeakEasy intends to vigorously defend the Action.

(EASY.CN) (39H.F) (the "Company" or "SpeakEasy") is pleased to provide an update on the progress of the buildout of its outdoor facilities in anticipation of obtaining a license from Health Canada. The Company is currently developing 2,613,600 sq ft of capacity, which is anticipated to be completed in 2019.   It is anticipated that this capacity would enable the Company to produce up to approximately 70,000 kg of extract ready cannabis flower as a final use product. Further, SpeakEasy intends to develop an additional 2,613,600 sq ft for the 2020 season increasing its potential production capacity up to approximately 150,000 kg.

The Company's 10,000 square foot indoor facility will allow for the growth, production, and cultivation of small batch cannabis if and when the Company obtains a license from Health Canada. Construction has also commenced on an 80,000 square foot expansion facility.   Completion for the expansion is projected for Q1 2019.

    SpeakEasy Announces Application for a Management Cease Trade Order

    Following the issuance of a Temporary Order and Notice of Hearing by the British Columbia Securities Commission on November 26, 2018 , which named (among others) the Company and the Company's former Chief Financial Officer, SpeakEasy's auditor advised the Company that it would be extending its review of certain of the Company's material transactions and would require additional supporting documentation for such transactions.   Some of the requested supporting documentation is not in the control or direction of the Company and consequently the Company was unable to fulfill the auditor's request prior to the filing deadline for the Financial Disclosure. SpeakEasy is working to provide the additional documentation to its auditors and to complete the audit of the financial statements for the year ended July 31 , 2018.  The Company anticipates that it will be in a position to file is Financial Disclosure before January 31 , 2019.  The Company confirms that it will comply with the alternative information guidelines included in National Policy 12-203 – Management Cease Trade Orders, for so long as it remains in default of a specified requirement.
