Apptio closes nearly $2 billion deal despite shareholder lawsuits

Bellevue-based IT automation software company Apptio has closed its nearly $2 billion sale to Vista Equity Partners despite pending shareholder lawsuits. The first lawsuit, filed Dec. 6 in the U.S. District Court of Delaware seeking class-action status, alleges Apptio and its directors omitted information about the proposed deal in a proxy statement, including projected financial information and whether the company entered into any non-disclosure agreements. The omissions, the shareholder alleged in the Dec. 6 lawsuit, made the proxy statement false and misleading.

What's Next For Apptio After Vista's Acquisition Offer?

Jefferies' John DiFucci maintains a Buy rating on Apptio with an unchanged $40 price target. Apptio agreed to sell itself to Vista for a 53-percent premium to Friday's closing price, which is a "fair deal" for all sides at $38 per share, DiFucci said in a Monday note. On Vista's end, the investment firm gains a "strategic asset" that can generate a sustainable organic growth rate in the low-to-mid 20-percent range, DiFucci said.

Why Apptio Inc. Is up Over 50% Today

Apptio Inc. (Nasdaq: APTI) is up over 50% at the open of today’s trading session after announcing that it has agreed to be acquired by Vista Equity Partners for $1.94 billion, or approximately $38 per share. The $38 price tag represents a 52.9% premium to Apptio’s closing price of $24.85 on Friday, which is all investors could really ask for unless they bought in near its 52-week high of $41.36 back in September. Over the next 30 days, Apptio will be permitted to “actively initiate, solicit, encourage, and potentially enter negotiations” with other companies, so the deal with Vista is not set in stone just yet, but I personally do not foresee a bidding war and think the deal will close as is.
